1. General Provisions

This text covers the terms and conditions applicable to the commercial relationship between legal or natural persons (“Buyer”) purchasing wholesale products under the brand Mizanomens, operating within the umbrella of ZEYREK 1980 Sanayi ve Ticaret Limited Şirketi, and Mizanomens (“Seller”).

From the moment the Buyer places an order, they are deemed to have read, understood, and accepted all of the following terms.

2. Order and Production Process

  • Orders are accepted in writing (email, WhatsApp, fax) and are not processed until approved by both parties.
  • Minimum order quantities vary by product group; orders outside these limits may not be accepted.
  • For products manufactured according to the Buyer’s special requests (size, color, fabric, etc.), production time may vary between 5–20 business days from order confirmation.
  • Changes or cancellations after order confirmation are only possible with Seller’s approval.

3. Pricing and Payment Terms

  • All prices can be denominated in Turkish Lira (₺), US Dollar ($), or Euro (€) and are exclusive of VAT (VAT is applied upon invoicing).
  • Payment may be made by advance payment, partial prepayment + balance before shipment, or letter of credit, depending on order size.
  • Production will not start until payment is received. Credit sales are only available within the framework of a written agreement.

4. Shipping, Delivery and Transportation Process

  • All orders are delivered from the Mizanomens Showroom/Central Warehouse located in Giyimkent, Istanbul.
  • The Buyer may pick up products using their own shipping company or request shipment via Seller’s contracted logistics firms.
  • Shipping costs are generally borne by the Buyer, but may be covered by the Seller in special campaigns or agreements.
  • Delivery time varies between 1–3 business days for domestic shipments and 5–15 business days for international shipments after production is complete.
  • The Seller is not responsible for delays or damage during courier delivery. The Buyer must inspect the package upon delivery and document any damage with a delivery report.

5. Product Inspection and Liability

  • The Buyer is obligated to inspect the received products within 48 hours and report any shortages, incorrect items, or production defects to the Seller.
  • Unreported damage, missing or incorrect items are considered accepted and are not eligible for return or exchange.
  • Liability for production defects applies only to products approved by the Seller.

6. Return, Exchange and Cancellation Policy

  • Return requests are accepted only in the following cases and within 14 days:
  • Production defect
  • Wrong product, size, or model sent
  • Missing part
  • Used, damaged, tag-removed, or custom-made products at the customer’s request are not accepted for return.
  • Order cancellations before production starts are possible with written approval. Orders already in production cannot be canceled.

7. Force Majeure

  • In cases such as earthquake, fire, flood, pandemic, governmental restrictions, war, strike, logistics crisis, or similar extraordinary events, the Seller is not liable for non-performance.
  • In such situations, the parties shall attempt to find a mutual solution via written communication.

8. Trademark Usage and Copyright

  • The “Mizanomens” and “Zeyrek 1980” trademarks are registered with the Turkish Patent and Trademark Office. Registration details:
    • Mizanomens Registration No: 2025/062997
    • Zeyrek Registration No: 2025/043302
  • The Buyer may not use the trademark, logo, or designs without permission; use in advertising, social media, e-commerce, etc. requires written consent.

9. Dispute Resolution and Legal Basis

  • These terms and conditions are governed by the laws of the Republic of Turkey, and the Courts and Enforcement Offices in Istanbul (Çağlayan) have jurisdiction to resolve any disputes between the parties.
  • The parties acknowledge that their correspondence, agreements, invoices, and order records constitute legal evidence.
